All services are subject to applicable UAE laws, regulations, and government requirements. We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

3User Accounts and Obligations

3.1 Account Registration

To access certain services, you may be required to create an account. When creating an account, you agree to:

• • Maintain the security and confidentiality of your login credentials
• • Accept responsibility for all activities under your account

• • Harassing, threatening, or defaming our staff or other clients

4Payment Terms

4.1 Fees and Charges

Service fees are determined based on the scope of work and will be communicated through:

All fees are quoted in UAE Dirhams (AED) unless otherwise specified. Fees do not include government charges, third-party fees, or applicable taxes unless explicitly stated.

4.2 Payment Methods

• • Online payment gateways
• • Cash (for certain services)
• • Cheque (subject to approval)

4.3 Payment Schedule

Unless otherwise agreed in writing:

• • Initial deposits or advance payments are required before work commences
• • Government fees and third-party charges must be paid upfront
• • Invoices are payable within 7 days of issuance
• • Late payments may incur interest charges of 2% per month
• • Services may be suspended for overdue payments

4.4 Refund Policy

Refunds are handled on a case-by-case basis:

• • Government fees and third-party charges are non-refundable
• • Service fees may be partially refundable if work has not commenced
• • Refund requests must be submitted in writing
• • Refunds are processed within 30 business days of approval
• • Refunds for rejected visa applications are subject to government policies

4.5 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect services already contracted unless there are changes in government fees or regulatory requirements beyond our control.

5Service-Specific Terms

5.1 Business Setup Services

• • Processing times depend on government authorities and are not guaranteed
• • Approval of licenses and permits is at the sole discretion of UAE authorities
• • Additional documentation may be requested during the process
• • Annual renewal fees and ongoing compliance are the client's responsibility
• • We act as facilitators and advisors, not as guarantors of approval

5.2 Visa Services

• • Visa approval is subject to UAE immigration authorities' discretion
• • Medical fitness tests and security clearances are required
• • Visa processing times vary and are not within our control
• • Rejected applications do not entitle clients to refunds of government fees
• • Clients must comply with all UAE immigration laws and regulations

5.3 Real Estate Services

• • We provide advisory services only; final investment decisions are yours
• • Property values may fluctuate; past performance does not guarantee future results
• • All property transactions are subject to Dubai Land Department regulations
• • Due diligence is conducted to the best of our ability but is not exhaustive
• • We are not liable for market changes or property value depreciation

5.4 Software Development

• • Project scope, timelines, and deliverables are defined in separate agreements
• • Changes to project scope may result in additional fees and timeline adjustments
• • Client approval is required at designated project milestones
• • Source code ownership is transferred upon full payment unless otherwise agreed
• • Ongoing maintenance and support are available under separate agreements

6Intellectual Property Rights

6.1 Our Intellectual Property

All content on our website and in our materials, including but not limited to:

• • Text, graphics, logos, images, and videos
• • Software, code, and applications
• • Trademarks, service marks, and trade names
• • Proprietary processes and methodologies
• • Templates, documents, and forms

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our website and services for their intended purposes. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

6.3 Client-Provided Materials

You retain ownership of all materials, documents, and information you provide to us. By providing such materials, you grant us a license to use them solely for the purpose of delivering our services to you.

7Warranties and Disclaimers

7.1 Our Commitment

We commit to:

7.2 Disclaimers

We do not guarantee that government applications will be approved, that visas will be granted, that business licenses will be issued, or that any specific outcome will be achieved. We act as facilitators and advisors, and final decisions rest with relevant authorities.

8Limitation of Liability

• • Any conduct or content of any third party
• • Unauthorized access, use, or alteration of your data
• • Delays or failures in government processing
• • Rejection of applications by government authorities
• • Changes in laws, regulations, or government policies
• • Market fluctuations or investment losses
• • Acts of God, force majeure, or circumstances beyond our control

Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific service giving rise to the claim.

9Indemnification

You agree to indemnify, defend, and hold harmless Almahira, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• • Your violation of any law or regulation
• • Your violation of any rights of a third party
• • Provision of false, misleading, or fraudulent information
• • Your use of our services in an unauthorized manner
• • Any content or materials you provide to us

10Termination

10.1 Termination by You

You may terminate your engagement with us at any time by providing written notice. Termination does not relieve you of payment obligations for services already rendered or costs already incurred.

10.2 Termination by Us

We reserve the right to suspend or terminate your access to our services immediately, without prior notice, if:

• • You breach these Terms
• • You fail to make required payments
• • You provide false or fraudulent information
• • You engage in illegal or unethical conduct
• • We are required to do so by law or government authority
• • Continuing the relationship would expose us to legal or reputational risk

10.3 Effect of Termination

Upon termination, all rights and licenses granted to you will immediately cease. Provisions regarding payment obligations, intellectual property, confidentiality, limitation of liability, and dispute resolution shall survive termination.

11Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai, without regard to conflict of law principles.

11.2 Informal Resolution

In the event of any dispute, claim, or controversy arising from these Terms or our services, the parties agree to first attempt to resolve the matter through good-faith negotiations.

11.3 Arbitration

If informal resolution fails within 30 days, any dispute shall be resolved through binding arbitration in accordance with the Arbitration Rules of the Dubai International Arbitration Centre (DIAC).

• • Each party shall bear its own costs unless otherwise determined by the arbitrator

11.4 Jurisdiction

Subject to the arbitration clause above, the courts of Dubai, UAE shall have exclusive jurisdiction over any disputes arising from these Terms.

12General Provisions

12.1 Entire Agreement

These Terms, together with any service-specific agreements and our Privacy Policy, constitute the entire agreement between you and Almahira regarding our services.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.

12.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, government actions, natural disasters, or internet/telecommunications failures.

All notices under these Terms shall be in writing and delivered via:
